These Terms & Conditions ("Terms") govern your access to and use of ReceiptTidy (the "Service"), operated by [COMPANY_LEGAL_NAME] (company number [COMPANY_NUMBER], registered office [REGISTERED_OFFICE]) ("we", "us", "our"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
ReceiptTidy lets you capture receipts and invoices, extract their data using automated optical character recognition (OCR) and AI, review and approve that data, and publish it to connected accounting systems (such as QuickBooks Online, Xero, FreeAgent, Sage and Zoho Books). Features, supported integrations and plan limits may change over time.
2. Eligibility & accounts
You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of your registration details, for all activity under your account, and for keeping your credentials secure. Notify us promptly at [SUPPORT_EMAIL] of any unauthorised use.
3. Acceptable use
You agree not to: (a) use the Service unlawfully or to upload content you have no right to; (b) attempt to access other customers' data or circumvent security or tenant isolation; (c) reverse-engineer, scrape, or overload the Service; (d) upload malware; or (e) resell the Service without our written consent. We may suspend or terminate accounts that breach this clause.
4. Your data & accuracy
You retain ownership of the receipts, invoices and other content you upload ("Your Content"). You grant us a licence to process Your Content solely to provide the Service. Automated extraction is not guaranteed to be accurate — you are responsible for reviewing and approving extracted data before it is published to your accounting system. We are not your accountant and the Service is not accounting, tax or legal advice.
5. Third-party integrations
Connecting a third-party accounting platform is governed by that provider's own terms. We are not responsible for third-party services, their availability, or actions you take in them. You authorise us to exchange data with a provider only for connections you set up.
6. Plans, fees & billing
Paid plans are billed through our payment processor (Stripe) on the cycle shown at checkout. Fees are stated exclusive of VAT unless otherwise indicated and are non-refundable except where required by law. We may change pricing on reasonable notice; changes apply from your next billing cycle. Failure to pay may result in suspension.
7. Availability & changes
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation, and may perform maintenance or modify features. We may discontinue features on reasonable notice.
8. Intellectual property
The Service, its software, branding and content (excluding Your Content) are owned by us or our licensors. No rights are granted except as expressly set out here.
9. Termination
You may stop using and close your account at any time. We may suspend or terminate access for breach of these Terms, non-payment, or where required by law. On termination your right to use the Service ends; data handling on closure is described in our Data Deletion & Retention policy.
10. Disclaimers & liability
The Service is provided "as is" and "as available". To the maximum extent permitted by law we exclude all implied warranties. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be excluded. Subject to that, our total aggregate liability arising out of or in connection with the Service is limited to the fees you paid in the 12 months before the event giving rise to the claim, and we are not liable for indirect or consequential loss, or for loss of profits, data or goodwill.
11. Indemnity
You agree to indemnify us against claims arising from Your Content or your breach of these Terms, to the extent permitted by law.
12. Privacy & data protection
Our handling of personal data is described in our Privacy Policy and, where we act as your processor, our Data Processing Agreement. Cookies are described in our Cookie Policy.
13. Changes to these Terms
We may update these Terms; material changes will be notified in-app or by email. Continued use after changes take effect constitutes acceptance.
14. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
